Legal Department is looking for applicants for the following position: 


Job Title: Lawyer

Department: Legal

Position reports to: Senior Legal Counsel

 

Position summary: Legal support for the activities of KIMEP University, improving the legal basis for internal and external organizational activities of KIMEP University, representing the interests of KIMEP University in the courts of the Republic of Kazakhstan, as well as in any government bodies, etc.

I. General provision, Functions of the Lawyer

The Lawyer must be proficient in the following:

  1. legislative and other regulatory acts and methodological materials regulating the business, economical and educational activities;
  2. profile, specialization and peculiarities of the organizational structure of the company;
  3. civil, entrepreneurial, commercial, administrative, financial, tax and other spheres of legislation of the Republic of Kazakhstan;
  4. arbitration procedural, civil procedural law, fundamentals of criminal procedural law;
  5. standards of record keeping for legal documents;
  6. structure of state bodies, local governments and judicial bodies;
  7. the procedure for systematizing, recording and maintaining the legal documentation using modern information technologies;
  8. basics of administration, ethics of business communication;
  9. basics of economics, organization of business, labor and management;
  10. labor legislation, internal labor regulations, occupational safety and health, industrial sanitation, fire safety requirements.

II. Job duties

The Lawyer shall:          

1) Take part in developing the  constituent documents;

2) ensures the registration of the legal entity, of emissions of valuable shares, and of amendments to constituent documents;

3) coordinate the work on maintaining the registers of shareholders (by third-party organizations), determine the legal grounds for operations of the company’s bodies (develop regulations on authorities powers of the General Meeting of Shareholders, on the Board of Directors, on the Governance Board, on the Audit  Committee);

4) develop the regulations on transactions (contracts) related to the acquisition or alienation of property;

5) coordinate the transactions with shares of the company;

6) determine the legal grounds for the dividend policy at the company and coordinate it;

7) organize the following work: provision of the company with the legal and regulatory framework documents necessary for implementing  the company’s operations, recording and maintaining the databases of regulatory legal acts;

8) provide units of the company and individual employees with regulatory legal acts necessary for them to perform their functions and duties;

9) check the compliance with the law of such documents as draft orders, manuals, policies and other documents of a legal nature submitted to the CEO of the company, check the compliance with the stages of approval of draft documents with responsible employees, endorse draft documents, issue orders to responsible employees of the company on amending or cancelling the  acts as stipulated by amendments in the legislation;

10) conduct the contractual work in the company, determine the forms of contractual relations, develop draft contracts, check the compliance with the legislation of draft contracts submitted to the company by its counterparties, take measures to resolve disagreements on draft contracts, ensure the notarization and (or) the state registration of certain types of documents;

11) analyze the contractual work in the company, develop programs for its revision and change, check the state of contractual work in the  units of the company;

12) conduct the claims work in the company, ensure the registration and consideration of claims received from the counterparties;

13) prepare the responses to received claims and make draft decisions on satisfaction or refusal to satisfy the received claims;

14) prepare the claims to counterparties, send such and monitor the satisfaction of claims sent to counterparties;

15) conduct the legal proceedings, take measures to comply with the pre-trial procedure for resolving the contractual disputes;

16) prepare the statements of claim and materials and submit such to the courts;

17) examine the copies of statements of claim for claims against the company, ensure the maintenance of a data bank on claim work;

18) represent the interests of the company in courts;

19) prepare applications, statements and other documents for obtaining licenses and permits necessary for performing the operations of the company;

20) takes part in the development of documents related to issues of ensuring the safety of the enterprise’s property, contracts on liability, instructions establishing the procedure for the receipt and acceptance of material assets at the enterprise, accounting for their movement, instructions for accounting for the release and release of finished products;

21) check and endorse contracts on financial liability of employees;

22) check the legality of the dismissal and transfer of employees, and of imposition of disciplinary sanctions on them;

23) represent the interests of the company during inspections imposed on the company by state control and supervisory authorities for the purpose of legal control over compliance with procedural actions by inspectors, the validity and correctness of the inspectors’ conclusions, registration of inspection results and preparation of procedural documents;

24) on behalf of the company acts as a representative in state supervisory authorities authorized to consider cases of administrative offenses detected at the company;

25) prepare and send complaints against actions of officials of state supervisory authorities, against administrative penalties unlawfully imposed on the company;

26) represent the company in the civil court;

27) have the right to accept claims, to respond to claims and to sign settlement agreements;

28) provide written and verbal consultations to employees of the company on various legal issues, provide legal assistance in composing the up legal documents.

III. Rights

The Lawyer is entitled tot:

  1. Get acquainted with the documents defining his/her rights and duties under this position and with the criteria for assessing the quality of performance of official duties.
  2. Submit for consideration proposals for improving the work related to the duties stipulated by this Job Description.
  3. Require the provision of organizational and technical conditions necessary for performance of official duties.

IV. Liability

The Lawyer shall be liable for:

  1. Inappropriate fulfillment or failure to fulfill his/her job duties stipulated by this Job Description - within the limits set by the current labor legislation of the Republic of Kazakhstan.
  2. Violations committed within the course of his/her operations - within the limits set by the current administrative, criminal and civil legislation of the Republic of Kazakhstan.
  3. Causing material damage to KIMEP University - within the limits set by the current labor and civil legislation of the Republic of Kazakhstan.
  4. Financially - within the frames of the labor legislation and for the property entrusted.

V. Qualification requirements:

- higher (or postgraduate) education with the relevant specialization;

- work experience of at least 5 years or more;

- fluency in English and Russian, knowledge of Kazakh is preferred;

- knowledge of legal terminology, principles, precedents and procedures;

- attention to details, thoroughness in work;

- good PC knowledge;

- ability to write well and competently;

- possession of rhetorical skills.

VI. Preferred comepetencies:

- responsibility;

- teamworking ability;

- positive interpersonal qualities.

Юрист имеет право:

IV. Ответственность

Юрист несет ответственность:

  1. За ненадлежащее исполнение или неисполнение своих должностных обязанностей, предусмотренных настоящей должностной инструкцией, — в пределах, установленных действующим трудовым законодательством Республики Казахстан.
  2. За правонарушения, совершенные в процессе своей деятельности, — в пределах, установленных действующим административным, уголовным и гражданским законодательством Республики Казахстан.
  3. За причинение материального ущерба КИМЭП — в пределах, установленных действующим трудовым и гражданским законодательством Республики Казахстан.
  4. Материальную в рамках трудового законодательства и вверенного имущества.

V. Требования к квалификации:

- высшее (послевузовское) образование по соответствующей специальности;

- стаж работы от 5 лет и более;

- свободное владение английским и русским языками, предпочтительное владение казахским языком;

- знание юридической терминологии, принципов, прецедентов и процедур;

- внимание к деталям, тщательность в работе;

- хорошее знание ПК;

- умение хорошо и грамотно писать;

- владение риторическими навыками.
